Silicon Valley Exoscience  Conference

By purchasing a ticket to this conference, you (Participant) agree to
the following terms and conditions with Innodemia (Company):
Agenda speakers and times are
subject to change based on
speakers’ schedules.


1. Refund policy
Online attendees:
Refund requests made more than
30 days before the event: 50% of
ticket price.
NO REFUNDS less than 30 days
before the conference.
In-person attendees:
Refund requests made more than
60 days before the event: 50% of
ticket price.
NO REFUNDS less than 60 days
before the conference.
Company will make reasonable
efforts to accommodate personal
emergencies.


2. Postponement due to forces
beyond our control

If conference should be postponed
due to earthquake or weather
disaster, power outage, acts of
terror, pandemic shutdown, or
other force majeure events,
Company will reschedule the
conference. No refunds will be
given.


3. Disclaimer of conference
content

Company (including its employees
and agents) assumes no
responsibility for conference
speakers or consequences
resulting from the use of
information or content of such
information presented, including
(but not limited to) errors or
omissions, the accuracy or
reasonableness of factual or
scientific assumptions, studies or
conclusions, the defamatory
nature of statements, ownership of
copyright or other intellectual
property rights, and the violation of
property, privacy, or personal
rights of others.
Company is not responsible for,
and expressly disclaims all liability
for, damages of any kind arising
out of use, reference to, or
reliance on such information.
While the speaker makes every
effort to present accurate and
reliable information, Company
does not endorse, approve, or
certify such information, nor does
it guarantee the accuracy,
completeness, efficacy, timeliness,
or correct sequencing of such

information. All presentations
represent the opinions of the
presenter and do not represent the
position or the opinion of
Company or its agents or
employees. Reference by the
speaker to any specific
commercial product, process or
service by trade name, trademark,
service mark, manufacturer, and
corporation or otherwise does not
constitute or imply endorsement,
recommendation, or favoring by
Company.


4. Not responsible for loss or
damage to any personal property.

In-person attendees: Company
explicitly disclaims any liability for
loss or damage to personal
belongings.
Online attendees: Company
explicitly disclaims any liability for
malfunctioning of personal devices
or internet disruptions on their
end.


5. Assumption of risk. By
attending the participating in this
conference, Participant hereby
acknowledges and agrees that
Company has not made any
representation or warranty of any kind
as to the condition, efficacy, or safety
of the subject matter discussed.
6. Medical emergencies.
Participant acknowledges and agrees
that in the event of an emergency, on-
site personnel may determine in good

faith that immediate medical attention
is required. In connection therewith,
Participant represents and warrants
that if any such medical attention is
provided to him or her, he or she shall
pay all associated costs and expenses.
Participant hereby indemnifies and
holds harmless Company and each of
its agents and employees (the
“Released Parties”) from and against
any costs or claims associated with or
arising from such medical care, as
none of the Released Parties are
providing Participant with insurance
of any kind or nature in connection
with the activities contemplated
hereby.


7. Release/Covenant Not to Sue.
Participant hereby fully and
irrevocably releases and discharges
each and every Released Party from
any and all loss, cost, damage, injury
(including disability or death),
expense, claim, suit, demand, and any
other liability of any kind or nature
(individually and collectively, a
“Loss”) to any person or entity
(including Participant) that arises out
of, directly or indirectly, Participant’s
involvement in the Conference, even
when such Loss is due, in whole or in
part, to the negligence of a Released
Party. Participant covenants not to
make a claim against any Released
Party in connection with the subject
matter hereof at any time, and
irrevocably discharges the Released
Parties from liability in connection
with any such claim.


8. Indemnification. Participant
hereby indemnifies and holds
harmless the Released Parties from
and against any Loss (including
without limitation reasonable outside
attorneys’ fees and related costs)
arising directly or indirectly from
Participant’s involvement hereunder
and/or his or her misconduct or
breach of any of the terms hereof
(including without limitation any of
his or her representations and
warranties). If any claim is brought
against any Released Party in
connection herewith, Participant
hereby agrees to cooperate with the
Released Party’s defense thereof in all
reasonable respects.


9. License to record and
distribute.
Company may have the
Conference photographed and/or
videotaped in its sole discretion.
Subject to the terms hereof,
Participant irrevocably grants to
Company (f/b/o Sponsor) an
exclusive, worldwide, fully paid-up,
royalty-free, transferable, perpetual
license to access, display, publish,
aggregate, reproduce, distribute,
amend, and otherwise use and reuse
the results and proceeds of
Participant’s involvement hereunder,
along with Participant’s name, image,
voice, likenesses, photographs,
videotaped recordings, audio
recordings, and any other personal
characteristics or likenesses
(collectively, the “Materials”) in any

manner, in whole or in part, in any
media (now or hereafter known).
Participant shall not have any
approval rights in connection with the
Materials, and as such, waives any
claim (including those based upon a
violation of personal rights) that may
arise, in whole or in part, out of any
authorized use of the Materials by
Company (including without
limitation any distortion, alteration,
and/or composite use thereof). The
rights granted by Participant
hereunder need not be exploited by
Company at any time.


10. Covenant Not to Sue.
Participant agrees, for himself or
herself, and all of his or her heirs and
legal representatives, not to sue the
Released Parties or initiate or assist in
the prosecution of any claim for
damages or cause of action against the
Released Parties which Participant or
his or her heirs or legal
representatives may have as a result
of any personal injury, death or
property damage the Participant may
sustain while on the Property or
participating in the Event.

This conference is hosted and
produced by Innodemia, a
company licensed to do business
in the State of California.
